1. About these terms
These terms apply when you use this website, create an account with us, or ask us to arrange freight forwarding, container shipping, air freight or customs clearance. "We", "us" and "TransAxis" mean the business identified at the top of this page. "You" means the person or company using our website or services.
Each booking is also governed by the quote or booking confirmation we send you and by any trading conditions referred to in it. If they conflict with these terms, the quote or booking confirmation takes priority for that booking.
2. Who can use our services
You must be at least 18 years old and able to enter into a binding contract. If you open a company account, you confirm that you are authorised to act for that company and that the company is bound by these terms.
3. Accounts
- We offer personal accounts for individuals and company accounts for businesses. We review every request and may accept or decline it.
- You must give us accurate, complete and current information and tell us promptly if it changes.
- We may ask for identity, company or ownership documents before accepting an account or a booking, and may decline if they are not provided.
- You are responsible for activity under your account and for keeping your contact channels secure.
4. Quotes and bookings
- Quotes are based on the information you give us and on carrier rates at the time. They are valid for the period stated, or 7 days if none is stated.
- A booking is confirmed only when we confirm it in writing (email, Telegram or our chat counts).
- Transit times and sailing dates are estimates from carriers and are not guaranteed.
- Prices may change if the cargo, weight, dimensions, route or timing differ from what you told us, or if carriers, ports or authorities apply surcharges, demurrage, detention, storage or inspection charges outside our control.
5. Your responsibilities as shipper
You must:
- describe the goods accurately, including their nature, value, weight, dimensions and commodity code where known;
- pack, label and mark goods so they are fit for the journey;
- declare any dangerous goods and supply the documents required to carry them;
- provide complete and truthful documents (commercial invoice, packing list, certificates and permits) on time;
- make sure that you have the right to ship the goods and that the consignee can lawfully receive them.
You are responsible for costs, fines, delays and losses caused by inaccurate or missing information, unless they were caused by our own failure.
6. Prohibited and restricted goods
We will not arrange the shipment of goods that are illegal in the origin, transit or destination country, or that a carrier will not accept. These include weapons and ammunition, controlled drugs, counterfeit goods, hazardous waste and items subject to sanctions. Restricted goods, such as dangerous goods, food, medicines, chemicals and dual-use items, are accepted only after prior written agreement and with the correct permits.
7. Sanctions and export controls
Our routes include countries that are subject to UK, EU, UN or US sanctions or export controls. We screen customers, consignees, goods and routes and may ask for end-user and end-use information. We may refuse, suspend or cancel a booking, without liability, if we reasonably believe it would breach sanctions, export controls, anti-money laundering or anti-bribery laws, or expose us or our partners to such a breach. You must not ask us to arrange anything that would breach these laws.
8. Customs clearance
Where we arrange customs clearance, we act as your agent based on the information you supply. You remain responsible for the accuracy of declarations and for all duties, taxes and charges that authorities impose. We may need you to sign a direct or indirect representation authority before we act.
9. Prices and payment
- Prices are shown in the currency stated in the quote and exclude duties, taxes and third-party charges unless stated otherwise.
- Unless agreed in writing, payment is due before cargo is released or within the period stated on the invoice.
- We may hold goods and documents until all amounts owed to us for that shipment, or for earlier shipments, are paid, as far as the law allows.
- Late payments may carry interest at the rate allowed by law.
10. Carriers and third parties
We arrange transport through independent shipping lines, airlines, hauliers, port agents and customs brokers. We do not own vessels or aircraft. Carriage is subject to the carriers' own terms and to international conventions, which may limit their liability. We choose partners with reasonable care but are not responsible for their acts or omissions, except where the law says otherwise.
11. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.
- Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of market or delay, or for losses caused by events outside our reasonable control, including war, strikes, port closures, piracy, weather, pandemics and government action.
- Our total liability for any one shipment is limited to the lower of the value of the goods affected and the fees we charged for that shipment, unless a higher limit is agreed in writing before shipment.
12. Claims and time limits
Notify us in writing of any loss or damage within 7 days of delivery, or of the date the goods should have been delivered. Carriers apply their own strict time limits, so late notice may mean a claim against the carrier is lost.
13. Insurance
We do not insure your goods unless you ask us to in writing and we confirm it. We strongly recommend cargo insurance for the full value of every shipment.
14. Using this website
- Information on this website, including routes and ports, is general and may change. It is not an offer to carry particular goods on a particular route.
- You must not misuse the website, try to gain unauthorised access, or send harmful or unlawful content through the chat or forms.
- The website content, logo and brand belong to us or our licensors. You may not copy them for commercial use without permission.
- Links to other sites, including Telegram, are provided for convenience. We are not responsible for their content.
15. Ending the relationship
You may close your account at any time by contacting us. We may suspend or close an account if you breach these terms or if section 7 applies. Bookings already confirmed continue under their own terms unless they are cancelled under these terms.
16. Consumers
If you use a personal account for purposes outside your trade or business, you have legal rights as a consumer under the Czech Civil Code (Act No. 89/2012 Coll.), the Czech Consumer Protection Act (Act No. 634/1992 Coll.) and the mandatory consumer law of the EU country where you live. Nothing in these terms affects those rights. Consumer contracts concluded at a distance may carry a 14-day right of withdrawal. If you ask us to start work during that period, you may have to pay for work already done, and the right ends once the service is fully performed.
17. Changes to these terms
We may update these terms. The version in force when you confirm a booking applies to that booking. We will tell account holders about material changes.
18. Law and disputes
These terms are governed by the law of the Czech Republic, and the courts of the Czech Republic have jurisdiction. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence and may bring proceedings in your local courts.
Consumers may use out-of-court dispute resolution through the Czech Trade Inspection Authority (Česká obchodní inspekce), adr.coi.cz, or the EU Online Dispute Resolution platform where it is available.
